MP4 is a container, not one single kind of data. A single MP4 file is a container in the MPEG-4 Part 14 format. It wraps a video track, one or more audio tracks, and often subtitles or cover art.
The sound inside is almost always AAC. Converting to MP3 lifts that audio track out of the container and encodes it on its own. The picture is discarded, so the MP3 you get back is a small fraction of the size of the video.
